Cnxion Health, LLC — Terms of Service

Governing the use of https://cnxion.myshopify.com/ (the “Site”)

These Terms of Service (these “Terms”) govern your access to and use of the Site, which is owned and operated by Cnxion Health, LLC (“Cnxion Health,” “we,” “our,” or “us”). The Site is an ecommerce website. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein. If you do not agree, do not use the Site.

THESE TERMS CONTAIN A DISPUTE RESOLUTION CLAUSE—INCLUDING A REQUIREMENT FOR MEDIATION AND, IF UNRESOLVED, BINDING ARBITRATION—AND A CLASS ACTION WAIVER. THEY AFFECT YOUR RIGHTS. PLEASE READ CAREFULLY.

1. Eligibility

You must be at least the age of majority in your jurisdiction (18 years old in most U.S. states) to use the Site or place an order. By using the Site, you represent that you meet this requirement and that you are legally able to enter into these Terms.

2. Changes to the Terms

We may update these Terms from time to time to reflect changes in our business, the law, or for other operational reasons. If we make material changes, we will notify you by email or by posting a notice on the Site. The updated Terms will be effective when posted unless a later date is stated. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.

3. Accounts and Security

You may need an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts for violations of these Terms.

4. Orders, Pricing, and Payment

All orders are offers to purchase products under these Terms and are subject to our acceptance. We may refuse or cancel any order for any lawful reason, including suspected fraud or product availability. Prices, promotions, and availability are subject to change without notice. Taxes, shipping, and handling fees will be added as applicable. By providing a payment method, you authorize us (and our payment processors) to charge the total amount to that method.

5. Shipping, Risk of Loss, and Title

We will arrange shipment of products to you. Risk of loss and title pass to you upon our delivery of the products to the carrier. Delivery dates are estimates and not guarantees. International shipments may be subject to customs, duties, and fees, for which you are responsible.

6. Returns and Refunds

Please review our Return & Refund Policy posted on the Site for details on eligibility, processes, and deadlines. Nothing in these Terms limits any statutory rights you may have under applicable law.

7. Subscriptions (if offered)

If you enroll in a subscription or auto-ship program, you authorize recurring charges at the then-current price and on the stated schedule until you cancel in accordance with the subscription terms. You can manage or cancel your subscription through your account settings or by contacting us before the next renewal is processed.

8. Product Information; No Medical Advice

We strive to describe products accurately. However, we do not warrant that descriptions, images, or other content are complete, reliable, current, or error-free. Statements regarding dietary supplements have not been evaluated by the U.S. Food & Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease. Content on the Site is for informational purposes only and is not a substitute for professional medical advice. Always consult a qualified healthcare provider regarding any medical condition or before using any product.

9. Intellectual Property

All content published or otherwise made available on the Site—including images, text, logos, graphics, documents, downloadable files, and the overall look and feel—is the property of Cnxion Health, LLC and/or our licensors and is protected by intellectual property laws. You may not copy, reproduce, modify, distribute, perform, display, or create derivative works from the Site or its content without our prior written permission, except as permitted by law.

10. User Content and Feedback

If you submit, post, or otherwise provide content (e.g., reviews, comments, testimonials, images) (“User Content”), you grant Cnxion Health a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in all media for any lawful purpose. You represent that you own or control all rights in your User Content and that it does not violate any rights of others or these Terms. We may remove User Content at any time for any lawful reason.

11. Prohibited Uses

You may not use the Site: (a) for any unlawful purpose; (b) to infringe the rights of others; (c) to transmit malware or engage in security violations; (d) to interfere with or circumvent the Site’s security features; (e) to engage in scraping, bulk data collection, or reverse engineering except as allowed by law; or (f) to misrepresent your identity or affiliation.

12. Third■Party Services and Links

The Site may contain links to or integrate with third■party websites and services (including Shopify and payment processors). We are not responsible for third■party content, policies, or practices. Your use of third■party services is at your own risk and subject to their terms.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and share personal information. The Privacy Policy is incorporated by reference into these Terms.

14. Indemnity

Except where prohibited by law, you agree to indemnify, defend, and hold harmless Cnxion Health, LLC and our directors, officers, employees, agents, subsidiaries, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site or your breach of these Terms.

15. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON■INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR■FREE, OR THAT DEFECTS WILL BE CORRECTED.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CNXION HEALTH, LLC OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUBSIDIARIES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR PRODUCTS PURCHASED THROUGH IT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SITE OR PRODUCTS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SERVICE AT ISSUE DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17. Compliance with Laws; Export

You agree to comply with all applicable laws, rules, and regulations, including export control and sanctions laws. You represent that you are not located in, or a resident of, any jurisdiction subject to comprehensive U.S. sanctions.

18. Applicable Law

These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of North Carolina, without regard to its conflicts■of■law principles and excluding the U.N. Convention on Contracts for the International Sale of Goods.

19. Dispute Resolution; Arbitration; Class Waiver

Before initiating formal proceedings, you and Cnxion Health agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site (“Dispute”) through good■faith informal discussions. If the Dispute is not resolved within thirty (30) days, the parties agree to participate in non■binding mediation with a neutral mediator acceptable to both parties. If mediation does not resolve the Dispute, it shall be finally settled by binding arbitration administered by a reputable arbitration provider under its applicable rules. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Nothing in this Section prevents either party from seeking temporary or permanent injunctive relief or bringing an individual action in small■claims court.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be deemed severed and will not affect the validity or enforceability of the remaining provisions.

21. Termination

We may suspend or terminate your access to the Site at any time for any lawful reason, including if we reasonably believe you have violated these Terms. Upon termination, Sections that by their nature should survive (including Sections 9–21) will continue in effect.

22. Entire Agreement

These Terms, together with any policy or document incorporated by reference (including our Privacy Policy, Return & Refund Policy, and Subscription Terms if applicable), constitute the entire agreement between you and Cnxion Health regarding the Site and supersede all prior or contemporaneous communications on the subject matter.
